Purpose and Content

The aim of the course The aims of this module are to offer an introduction to fundamental pillars of: • the basic principles of International Franchising and • the law and Business aspects of Franchising in several countries
Course Content This course introduces students to the history and the current status of franchising in the world as a means of distribution of goods and services in comparative analysis with other types of distribution ( licensing, agency, exclusive distribution etc) and it will give them an awareness of the dynamic legal and business issues that typically face franchisors and franchisees.

2definitions of a franchise under European Law,
3the franchisor- franchisee relationship,
4termination of the franchise,
5franchise litigation,
6intellectual property issues in franchising
7the antitrust laws that specifically affect franchising,
8the fundamental European contract law that forms the basis for the franchisor-franchisee relationship,
9Midterm
10Expansion into international markets (market entry, preparation, ownership and fee structures and control of units and brands as well as legal considerations)
11the basics of franchise law in Europe , U.S and other countries having specific franchise legislation,
12analyse the European Franchise Federation ‘s CODE OF ETHICS ,
13analyse a typical draft of a franchise unit and a master franchise agreement
14assessment
